Welcome to Cherry Edits ("we," "us," "our"). By accessing or using our website at cherryedits.ai and our AI-powered manuscript editing services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Nature of the Service

Cherry Edits provides AI-powered manuscript editing tools, including developmental editing, line editing, copy editing, and proofreading. Our Service uses artificial intelligence models provided by third-party providers to analyze and suggest edits to your manuscripts.

2. AI-Generated Output Disclaimer

You acknowledge and agree that all editing suggestions, corrections, and modifications produced by the Service are generated by artificial intelligence and may contain errors, inaccuracies, hallucinations, or inappropriate changes.

AI technology, while powerful, is imperfect. Outputs may include but are not limited to:

Factual errors or fabricated information
Inconsistent or contradictory suggestions
Changes that alter the author's intended meaning or voice
Grammatical or stylistic suggestions that are subjective or incorrect
Missed errors or issues in the source material

You are solely responsible for reviewing, accepting, or rejecting any AI-generated output before publishing, distributing, or otherwise using your manuscript. Cherry Edits does not guarantee the accuracy, completeness, or suitability of any AI-generated edits.

3. No Professional Editing Substitute

The Service is a tool to assist with the editing process. It is not a substitute for professional human editing, proofreading, or legal review. We make no representations that AI-generated edits meet any professional standard of care. If your manuscript requires professional-grade editing for publication, legal compliance, or any critical purpose, you should engage qualified human professionals.

4. Your Content and Intellectual Property

You retain all ownership rights to your manuscripts and content. By uploading content to the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you. We do not claim any ownership of your manuscripts or the AI-generated edits applied to them.

You represent and warrant that you have the right to upload and process any content you submit to the Service, and that such content does not infringe on the intellectual property rights of any third party.

5. Account Registration and Security

To use certain features, you must create an account. You agree to provide accurate information, maintain the security of your credentials, and promptly notify us of any unauthorized access. You are responsible for all activity under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive, fraudulent, or harmful activity.

6. API Keys and Third-Party Services

Certain plans require you to provide your own API key for third-party AI services (e.g., Anthropic, OpenRouter). You are solely responsible for:

Complying with the terms of service of those third-party providers
Any costs incurred through your API key usage
The security and confidentiality of your API keys

While we encrypt stored API keys at rest, you acknowledge that providing API keys to any service carries inherent risk. We are not liable for any unauthorized use of your API keys.

7. Payment and Billing

Paid plans are billed on a recurring basis (monthly or annually) as described at the time of purchase. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with reasonable notice. Credit purchases are non-refundable and do not expire.

8. Prohibited Uses

You agree not to use the Service to:

Upload content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
Process content that infringes on any intellectual property rights
Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms
Interfere with or disrupt the Service or its infrastructure
Use automated tools to access the Service in a manner that exceeds reasonable use
Resell, sublicense, or commercially redistribute the Service without written permission

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHERRY EDITS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

In no event shall our total aggregate liability exceed the amount you paid to us in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

Without limiting the foregoing, we are not liable for any damages arising from:

Errors, inaccuracies, or omissions in AI-generated output
Reliance on AI-generated edits without independent review
Loss or corruption of uploaded manuscripts
Interruptions in service availability
Actions of third-party AI providers or their models

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. We do not warrant that AI-generated output will be accurate, complete, or suitable for any particular purpose.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cherry Edits and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your content, your violation of these Terms, or your violation of any rights of a third party.

12. Data Processing and Content Handling

Your manuscripts are processed by third-party AI services to generate edits. By using the Service, you consent to this processing. We do not use your manuscripts to train AI models. However, you should review the privacy policies and terms of the underlying AI providers (e.g., Anthropic's usage policies) to understand how they may handle data sent through their APIs.

13. Internet and Technology Risks

You acknowledge that the use of any internet-based service involves inherent risks, including but not limited to data interception, service outages, software vulnerabilities, and third-party security breaches. You agree to use the Service with appropriate caution and to maintain your own backups of all content uploaded to the Service.

14. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms. Material changes will be communicated via the email associated with your account or via notice on the Service.

15. Termination

Either party may terminate this agreement at any time. You may delete your account through the Service or by contacting us. We may terminate or suspend your access for violation of these Terms or for any reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period following termination.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cherry Edits regarding the Service and supersede all prior agreements and understandings.
